These Terms of Service (“Terms”) govern your use of https://piniondesigns.com (the “Site”) and services provided by Pinion Designs (“we,” “us,” or “our”).

By accessing or using our Site or engaging our services, you agree to these Terms. If you do not agree, please do not use the Site.

1. Our Services

Pinion Designs provides creative and digital services, including:

  • Website design and development (WordPress and Astro)
  • Custom WordPress plugin development
  • Brand identity, graphic design, print and marketing materials
  • Professional photography
  • Website hosting, maintenance, and support
  • Local SEO and marketing services

Specific project scope, deliverables, timelines, and fees will be defined in a separate proposal, quote, or written agreement. In case of conflict between a project agreement and these Terms, the project agreement controls for that project.

2. Use of the Site

You agree to use the Site only for lawful purposes and not to:

  • Attempt to disrupt, hack, or misuse the Site
  • Submit spam, malware, or unlawful content through our forms
  • Copy or scrape Site content without permission
  • Misrepresent your identity when contacting us

We may suspend or restrict access to the Site if we reasonably believe misuse has occurred.

3. Quotes, Payment, and Project Terms

  • Quotes are valid for 30 days unless stated otherwise.
  • Projects typically require a deposit before work begins, with balance due on completion or per milestones defined in the proposal.
  • Ongoing services such as hosting, maintenance, or SEO are billed as agreed in writing and may be paused or terminated for non-payment.
  • You are responsible for providing timely content, feedback, access, and approvals needed to complete your project. Delays caused by missing materials may affect timelines and cost.
  • Additional revisions or work outside the agreed scope will be quoted separately.

Unless otherwise agreed in writing, all fees are in USD and non-refundable once work has begun.

4. Intellectual Property

  • Our Site content, including text, images, logos, and portfolio work, is owned by Pinion Designs or our clients and protected by copyright and trademark law. You may not reuse it without written permission.
  • Upon full payment, you receive the rights to final delivered work as specified in your project agreement.
  • We retain the right to use general know-how, tools, and techniques developed during projects, and to display completed work in our portfolio unless you request confidentiality in writing before project start.
  • You represent that any materials you provide to us (logos, photos, text) are owned by you or properly licensed, and you grant us permission to use them to complete your project.

5. Client Websites, Hosting, and Third-Party Services

  • If we host or maintain your website, we will use reasonable efforts to keep it secure, backed up, and available, but we do not guarantee 100% uptime.
  • We may use trusted third-party platforms to deliver services, such as Cloudflare for hosting/security, Google Analytics, Google reCAPTCHA, and Google Fonts. Your use of our Site is also subject to Google’s Privacy Policy and Terms of Service.
  • Client sites built on WordPress, WooCommerce, Shopify, or other platforms are subject to those platforms’ own terms and licensing.
  • We are not responsible for outages, data loss, or issues caused by third-party hosts, registrars, plugin vendors, or your failure to maintain licenses, domains, or credentials, unless covered by a separate maintenance agreement.

6. Testimonials and Portfolio

Testimonials shown on our Site reflect real client experiences but are not a guarantee of future results. Any results mentioned vary by client, industry, and effort.

Our Site may link to third-party sites, including social media (LinkedIn, Instagram, Facebook, GitHub), Google Maps, and client websites. We do not control and are not responsible for their content, policies, or practices.

8. Disclaimer

The Site and general information on it are provided “as is” and “as available” for informational purposes. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses.

Professional services will be performed with reasonable skill and care as described in your project agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Pinion Designs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption, arising from your use of the Site or services.

Our total liability for any claim related to the Site or services shall not exceed the amount you paid to us for the specific service giving rise to the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Pinion Designs from claims, damages, and expenses arising from your misuse of the Site, materials you provide, or violation of these Terms.

11. Termination

We may terminate or suspend access to the Site or ongoing services at any time for violation of these Terms or non-payment, with reasonable notice where practical. Sections regarding payment, intellectual property, disclaimer, limitation of liability, and governing law survive termination.

12. Governing Law

These Terms are governed by the laws of the State of New Hampshire, without regard to conflict of law principles. Any dispute shall be brought in state or federal courts located in Belknap County, New Hampshire, and you consent to their jurisdiction.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

13. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised “Last updated” date. Your continued use of the Site after changes become effective constitutes acceptance.
